1. INTRODUCTION
1.1) The conference is organized and managed by Verivent LLC, a company registered in
the USA.
1.2) References to “us” means Verivent LLC and references to “we” and “our” shall be
construed accordingly. Reference to “you” and “Participant” means the entity completing
a booking request and references to “your” shall be construed accordingly. By completing
the booking request the entity accepts and becomes bounded with the present provisions
of Terms and Conditions with Verivent LLC.
1.3) All applications to register for the conference, and all orders to purchase the
relevant documentation pack, are made subject to these Terms & Conditions (which shall
apply to the exclusion of any terms imposed by you).
1.4) You acknowledge and accept that we have the right to publicly announce our business
relationship with you which shall include but not be limited to announcements on social
media. Such announcements shall not be disparaging or otherwise adverse to your
business.
1.5) Conference is the event in the sphere of blockchain and cryptocurrency held in the
Asia and Europe (hereinafter – “Conference”)
2. BOOKINGS
2.1) All applications to register for the conference are subject to availability and you
making full payment.
2.2) Confirmation (or rejection) of your booking will be sent to you by e-mail within 3
days of our receipt of your booking request.
2.3) Guest passes issued for use at the conference are valid for named attendee only
and, subject to clause 4.2 below, cannot be transferred.
2.4) The cost of replacing lost or damaged guest passes is $100.
2.5) You can make amendments to your booking requests not later than 2 days before the
Conference by reaching us via the following e-mail amy@bcisummit.com.
3. PRICES AND PAYMENT
3.1) Participation will not be possible without prior payment of the registration fee.
3.2) Our prices for attending the conference, and for purchasing the documentation pack
for the conference, are set out on the relevant registration booking form or the
relevant purchase order form or can otherwise be obtained from us upon request or from
our website. Prices may be subject to change from time to time. All the prices are
stated without applicable taxes.
3.3) The registration fee includes the participation to the Conference, the Conference
documents that will be provided to you, lunches and beverages provided during the
Conference.
3.4) You must cover your own travel and accommodation expenses and make these
arrangements on your own. We assumes no responsibility for the reservation of
accommodation.
3.5) You are requested to make your own arrangements for health and travel insurance.
The registration fee does not include insurance.
3.6) If your booking has been confirmed an invoice will be sent to you within ten (10)
working days setting out the relevant payment instructions and terms. Payment is due
immediately on receipt of this invoice.
4. CHANGES TO THE CONFERENCE AND CANCELLATIONS
4.1) It may be necessary for reasons beyond our reasonable control to alter the
advertised content, timing and/or location of the conference or the advertised speakers.
We reserve the right to do this at any time. Where we alter the time and/or location of
the conference, we will provide you with notice of the same.
4.2) If you are unable to attend the conference we welcome substitute delegates
attending in your place at no extra cost provided that we have at least 2 days prior
notice of the name of your proposed substitute and have received payment in full. Please
notify us of any substitutions by email at: amy@bcisummit.com.
4.3) No refunds will be given in respect of any cancellations or non-attendance
regardless of the reason(s) due to the high demand for our events and the nature of
conferences.
4.4) We shall not be liable to you for travel, accommodation or other costs and expenses
incurred (included wasted costs and expenses) including the case we are required to
cancel or relocate the conference as a result of an event outside our control
(including, without limitation, to acts of God, floods, lightning, storm, fire,
explosion, war, military operations, acts of terrorism or threats of any such acts, any
strike action, lock-outs or other industrial action and a pandemic, epidemic or other
widespread illness).
5. CONTENT
5.1) All rights in all presentations, documentation and materials published or otherwise
made available as part of the conference (including but not limited to any documentation
packs or audio or audio-visual recording of the conference) (“Content”) are owned by us
or are included with the permission of the owner of the rights. No (i) professional
photography, filming or recording; or (ii) republication, broadcast or other
dissemination of the Content is permitted. You shall not distribute, reproduce, modify,
store, transfer or in any other way use any of the Content, and in particular (but
without limitation) you shall not (and shall procure that each of your delegates shall
not):
5.1.1 upload any Content into any shared system;
5.1.2 include any Content in a database;
5.1.3 include any Content in a website or on any intranet;
5.1.4 transmit, re-circulate or otherwise make available any Content to anyone else;
5.1.5 make any commercial use of the Content whatsoever; or
5.1.6 use Content in any way that might infringe third party rights or that may bring us
or any of our affiliates into disrepute.
5.2) The Content does not necessarily reflect our views or opinions.
5.3) Suggestions or advice contained in the Content should not be relied upon in place
of professional or other advice. Whilst we take reasonable care to ensure that the
Content created by us is accurate and complete, some of it is supplied by third parties
and we are unable to check its accuracy or completeness. You should verify the accuracy
of any information (whether supplied by us or third parties) before relying on it. The
Content is provided on an “AS IS” basis without any warranties of any kind (express or
implied). We hereby exclude to the fullest extent permitted by law all liabilities,
costs, claims, damages, losses and/or expenses arising from any inaccuracy or omission
in the Content or arising from any infringing, defamatory or otherwise unlawful material
in the Content.
5.4) To the extent that any Content is made available by us online we reserve the right
to suspend or remove access to such Content at any time.
6. LIABILITY
6.1) Subject to Clause 6.4, our aggregate liability to you, whether such liability
arises in contract, tort (including negligence) or otherwise, for any damages, loss,
costs, claims or expenses of any kind howsoever arising, out of in connection with any
booking (or requested booking) made by you or otherwise in relation to a conference,
shall be limited to the price paid by you in respect of your booking to attend the
conference.
6.2) Subject to Clause 6.4, we shall not be liable to you for (i) any loss of profit,
loss of or damage to data, loss of anticipated savings or interest, loss of or damage to
reputation or goodwill or; (ii) any indirect, special or consequential damages, loss,
costs, claims or expenses of any kind.
6.3) You agree to indemnify us, our staff and our affiliates and to hold us harmless to
the fullest extent permitted by law, against all loss, costs, claims or expenses of any
kind arising from any act or omission by you (including your delegates) during or
otherwise in relation to a conference.
6.4) Nothing in this these Terms and Conditions shall limit or exclude either party’s
liability for:
6.4.1 death or personal injury caused by that party’s negligence, or the negligence of
that party’s employees, agents or subcontractors;
6.4.2 fraud or fraudulent misrepresentation; or
6.4.3 any other liability which cannot be limited or excluded by applicable law.
7. ANTI-BRIBERY
7.1) You warrant that you shall:
7.1.1 comply with all applicable laws, statutes and regulations relating to anti-bribery
and anti-corruption
7.1.2 promptly report to us any request or demand for any undue influence or other
advantage of any kind received by or on behalf of you in connection with the performance
of these Terms and Conditions.
7.2) Breach of this clause 7 shall be deemed a material breach of these Terms and
Conditions.
8. GENERAL
8.1) These Terms and Conditions (together with any documents referred to herein or
required to be entered into pursuant to these Terms and Conditions) contain the entire
agreement and understanding between us and supersede all prior agreements,
understandings or arrangements (both oral and written) relating to the subject matter of
these Terms and Conditions and any such document.
8.2) You acknowledge that in registering a delegate place you have not relied on, and
shall have no remedy in respect of, any statement, representation, warranty,
understanding, promise or assurance (whether negligently or innocently made) of any
person other than as expressly set out in these Terms and Conditions.
8.3) These Terms and Conditions shall not create, nor shall they be construed as
creating, any partnership or agency relationship between us.
8.4) You accept that communication with us may be electronic. We may contact you by
e-mail or provide you with information by posting notices on our website. You agree to
this electronic means of communication and you acknowledge that all such communications
that we provide to you electronically comply with any legal or contractual requirement
that such communication be made in writing.
8.5) Save as set out in Clause 4.2 you are not permitted to re-sell, transfer, assign or
otherwise dispose of any of your rights or obligations arising under these Terms and
Conditions.
8.6) These Terms and Conditions and the rights and obligations of both parties shall be
governed by, and construed in accordance with, the laws of England and Wales and both
parties irrevocably agree to submit to the exclusive jurisdiction of the courts of
England and Wales in respect of any dispute which arises hereunder.
9. PRIVACY POLICY
9.1) Upon registration to the Conference, your details such as name, surname,
institution, country and email address, but also any other details the Participant might
submit will be collected to prepare a participant list for the benefit of all
Participants. These details may also be available to parties directly related to the
events including the venues and accommodation providers. We may use, store and collect
this data for the purposes related to the performance of our obligations under these
terms and conditions.
9.2) We may use these data to inform the you of updates or future conferences via email.
9.3) During the Conference we or our representatives may photograph and/or film you. We
may use photographs and/or videos bearing your image in any format type for posting on
the Conference website, our website.
9.4) By registering to Conference, you consent to the processing of your personal data,
including photographs and/or videos bearing your image, by us in accordance with
applicable data protection laws strictly for the above-mentioned purposes.
9.5) By submitting the registration you hereby give the consent for us to store the
following types of data as a profile for internal purposes:
a) mandatory and voluntary data collected when making a booking for the Conference.
b) voluntary disclosures when participating in online surveys.
c) in case you have opted-in to receive email communication about related events you
give consent for us to analyze and use the data for the purpose of targeted advertising
communications to you.
d) data collected from any connected social media for which you have provided to us.
e) you give my consent for your data to be updated and supplemented with additional
data.
f) you give your consent for us to collect data relating to you personally from public
domain sources and to store these along with your personal data that are already
received by us. You give your consent for us to analyze this newly collected data and to
use the same for the purpose of targeted advertising communications to you.
g) We have free lifetime use of any image or video content created by attendees at the
Conference.
10. PROPRIETARY RIGHTS
10.1) All content and material made available during or related Conference are protected
by property rights. Except as expressly authorized by us, Participants may not sell,
license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly
perform, publish, adapt, edit, or create derivative works from such materials or
content.
11. LIABILITY
CANCELLATION OF THE CONFERENCE
11.1) In the event that the Conference cannot be held or is postponed due to events
beyond our control (force majeure) or due to events which are not attributable to gross
negligence (“faute lourde”) or willful misconduct (“dol”), we cannot be held liable.
Under these circumstances, we will reimburse the Participants the registration fee after
deducting costs already incurred for the organization of the Conference and which could
not be recovered from third parties.
MODIFICATION OF THE CONFERENCE PROGRAMME
11.2) We reserves the right to modify the Conference programme.
DISCLAIMER
11.3) As regards the Conference, the our liability shall be limited to its gross
negligence (“faute lourde”) or willful misconduct (“dol”). In any cases, we shall not be
liable for (a) any damages, costs, or losses incurred, such as transportation costs,
accommodation costs or financial losses, (b) any loss of business, revenue, profits,
anticipated savings, opportunity, goodwill, use, data, whether arising directly or
indirectly, or (c) for any indirect, punitive, special, incidental or consequential
damages.
11.4) Presenters alone are responsible for the content of their respective presentations
and/or handouts, which are offered for informational purposes only. The views and
opinions expressed in the presentations/handouts are not necessarily those of us and are
not endorsed by us. We disclaim any and all legal liability for the content expressed in
the presentations or materials distributed as a part of a presentation.
PARTICIPATION TO THE CONFERENCE
11.5) You are expected to behave professionally. You are liable for the damages they
cause to other persons and/or to other persons’ or the venue’s property.
11.6) By sending the booking request to the Conference you confirm that you posses the
full capacity (sui juris) and you are a person of majority age under your personal
applicable laws.
12. VOLUNTEERS
12.1) By agreeing to act as a volunteer at an event, you acknowledge that:
a) you will receive no compensation for travel, accommodation etc.
b) we don’t guarantee that you will be selected to be a volunteer at the event.
c) it is prohibited to violate any rule of the Conference including ban of alcohol and
drug usage during the Conference;
d) you confirm that all the information given to us by you is actual and valid;
e) selection as a volunteer grants permission to us to use the volunteer likeness, name,
voice and words in television, radio, film, newspapers, magazines and other media, both
during and anytime after the event, and in any form, for advertising or communicating
the purpose of the Conference;
f) in the course of the event you may be dealing with confidential information and I
agree to keep such information in the strictest of confidence;
g) you have read and fully understood these terms and conditions and all the related
documents.
13. OTHER LEGAL PROVISIONS
13.1) Should individual provisions of these general terms and conditions be invalid,
this shall have no effect on the validity of the remaining provisions.
13.2) These general terms and conditions shall be governed in all respects by the laws
of England and Wales, excluding its conflicts of laws provisions. In case of a dispute
arising out of or in connection with these general terms and conditions, the courts of
London shall have exclusive jurisdiction to settle any dispute which may arise under or
in connection with these general terms and conditions.
13.3) You hereby agree that we may send you the requests on participating in our online
surveys and accept that the data received by us from the surveys’ results can be used
for commercial purposes.
13.4) We are entitled to change these Terms and Conditions from time to time. Your
continued use of the website of the Conference following such change shall be subject to
and including the changes made to the terms from time to time.
13.5) You agree not to copy, modify or use these Terms and Conditions for any illegal
purposes.
13.6) You agree to be fully responsible for (and fully indemnify us against) all claims,
liability, damages, losses, costs and expenses, including legal fees, suffered by us and
arising out of any breach of the terms by you or any other liabilities incurred by us
arising out of performance of your obligations under these Terms and Conditions.
